Note ABES EIRL et sûretés EIRL And Securities Patrimoine d'affectation Suretés Entrepreneur individuel Special-Purpose assets Securities Individual entrepreneur Entreprises individuelles Patrimoine -- Gestion Sociétés à responsabilité limitée Sociétés unipersonnelles Avec l'intégration du dispositif de l'EIRL en droit français, le mécanisme du patrimoine d'affectation doit être appréhendé dans un environnement législatif largement influencé par la théorie de l'unicité du patrimoine. L'adaptation de ce mécanisme aux sûretés (réelles ou personnelles) du Code Civil soulève une multitude de questionnements d'ordre conceptuel et technique. Nos travaux de recherches ont pour principaux objectifs de clarifier les incidences du dispositif de l'EIRL en présence de sûretés mais également de discuter les opportunités qui découlent de la nouvelle figure des sûretés lorsqu'elles sont conférées par un entrepreneur individuel à responsabilité limitée. C'est l'occasion de décrire la structure du patrimoine d'affectation de droit français et de définir les sûretés dans une approche objective ( en considération du patrimoine) et non seulement par une approche subjective (en considération du sujet de droit qu'est la personne de l'entrepreneur). Fort de toutes ces constatations, c'est l'effectivité des sûretés conférées par un EIRL qu'il conviendra d'apprécier en cas de procédure collective pour en affirmer, ou en infirmer, l'utilité pour le créancier de celui-ci. With the integration of the EIRL mechanism into French law, the mechanism of the appropriation patrimony must be understood in a legislative environment largely influenced by the theory of the unicity of the patrimony. The adaptation of this mechanism to the securities (real or personal) of the Civil Code raises a multitude of conceptual and technical questions. The main objectives of our research are to clarify the impact of the EIRL mechanism in the presence of securities but also to discuss the opportunities arising from the new figure of securities when they are granted by an individual entrepreneur with limited liability. This is an opportunity to describe the structure of the assets under French law and to define the securities in an objective approach (taking into account the assets) and not only by a subjective approach (taking into account the legal subject who is the entrepreneur). Based on all these observations, it is the efficiency of the securities conferred by an EIRL that must be evaluated in the event of bankruptcy proceedings in order to confirm or deny their utility for the EIRL's creditor.
